Terms of Sale – The Contract Studio UK Ltd

1. About us and these terms
1.1 These Terms of Sale set out the basis on which The Contract Studio UK Ltd supplies digital products and services (including contract templates, guides and related resources) to business customers via our website.
1.2 By placing an order through our website, you confirm that you are acting in the course of your business and have authority to bind that business. These Terms of Sale, together with any product description on our site and your order confirmation email, form the contract between us.
1.3 Any marketing materials, testimonials or FAQs are to help explain our services and are not contractual unless we expressly state otherwise in writing.
2. Business customers only
2.1 Our products and services sold via this website are intended for business-to-business use only. Consumer protection legislation (including the Consumer Rights Act 2015) does not apply to this contract.
3. Our products and services
3.1 We sell standard form legal and commercial templates, guides and related digital resources, which you customise for your own business and clients. They are not a substitute for tailored legal advice on specific matters.
3.2 We may make minor changes to a product to reflect changes in law or to improve clarity or usability. These changes will not reduce the overall value of what you have purchased.
4. Ordering and contract formation
4.1 You can place an order by adding products to your basket and completing the checkout process on our website.
4.2 Before you submit your order, you will be shown a summary of the products, price (including taxes where applicable) and any recurring charges. Please check all details carefully.
4.3 The contract between us is formed when we email you an order confirmation or provide access to the product, whichever happens first. We reserve the right to decline an order, for example where payment is not authorised or there has been an obvious pricing error.
5. Prices, payment and taxes
5.1 Prices are as shown on our website at the time you submit your order. We may change prices from time to time but those changes will not affect orders we have already accepted.
5.2 Unless stated otherwise, all prices shown on this website are inclusive of all applicable taxes. The Contract Studio UK Ltd is not currently registered for VAT. If VAT registration is obtained in the future, VAT will be added at the applicable rate and shown separately at checkout.
5.3 Payment is due in full at the point of order. We accept the payment methods shown at checkout and you authorise us or our payment provider to charge your chosen method.
6. Delivery of digital products
6.1 Digital products will usually be delivered by download link, email, portal access or similar electronic means shortly after your payment has been authorised.
6.2 Please keep your login and access details secure and do not share them with others outside your business.
7. Use of our content and licensing
7.1 We own all intellectual property rights in the templates, guides and other materials you purchase from us, and in any associated documentation, branding and website content.
7.2 Once you have paid for a product, we grant your business a non-exclusive, non-transferable licence to:
- download and store the product;
- adapt and use it internally within your business; and
- use it in the course of providing services to your own clients, provided you do not present our templates as your own product range for resale.
The licence granted under this clause is personal to the legal entity that places the order and does not extend to any parent, subsidiary, affiliate or other related entity without our prior written consent.
7.3 You must not, without our prior written consent:
- resell, redistribute or make the templates or any adapted versions available for others to download as their own products;
- publish the full template content in any public repository or website; or
- remove or obscure any copyright notices or proprietary legends we include.
8. No legal advice and suitability
8.1 Our templates and resources are generic and are not legal advice tailored to your specific circumstances. They are intended as a starting point for your own professional judgment.
8.2 You remain responsible for:
- checking that a product is suitable for your intended use and risk profile;
- editing and configuring it correctly for each transaction; and
- obtaining bespoke legal advice where your situation is complex or high-risk.
9. Refunds and cancellations
9.1 Because our products are digital and made available immediately after purchase, we do not normally offer refunds or cancellations once access has been granted, except where required by law or where we have clearly misdescribed the product. By completing your purchase, you expressly consent to immediate access to the digital product and acknowledge that you lose any right to cancel once delivery begins.
9.2 If you believe there is a material issue with a product (for example a technical fault or a serious inaccuracy in the description), please contact us within 5 business days of purchase with details. We may, at our discretion, offer a repair, replacement or refund.
10. Access, updates and downtime
10.1 Where a product includes ongoing online access (for example to a portal or update stream), we will use reasonable efforts to keep that access available but do not guarantee uninterrupted availability.
10.2 We may suspend access temporarily for maintenance, security or technical reasons. Where reasonably possible we will schedule maintenance outside core business hours.
11. Limiting our liability
11.1 Nothing in these Terms of Sale limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
11.2 Subject to clause 11.1, we are not liable for: loss of profit, revenue, business, contracts, goodwill, or any indirect or consequential loss or damage.
11.3 Subject to clauses 11.1 and 11.2, our total aggregate liability arising in connection with your purchase of products via this website is limited to the total price you paid for the product(s) giving rise to the claim.
11.4 Without prejudice to clauses 11.1 to 11.3, we are not liable for any loss or damage arising from your use of, reliance on, or adaptation of our templates, including any legal, regulatory or commercial consequences of contracts entered into using our products.
12. Data protection
12.1 We will handle any personal data you provide in connection with your order in accordance with our Privacy Policy, which explains what we collect, why we collect it and your rights.
13. Changes to these Terms of Sale
13.1 We may update these Terms of Sale from time to time. The version that applies to your purchase is the version in force at the time you place your order, as shown on the checkout page.
14. Force majeure
14.1 Neither party shall be liable for any failure or delay in performing its obligations under these Terms of Sale to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, pandemic, government action, utility or telecommunications failure, or cyber-attack.
15. Governing law and jurisdiction
15.1 These Terms of Sale and any dispute or claim arising out of or in connection with them are governed by the law of England and Wales.
15.2 The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
